| Preamble | |||||||
Where as there is a need to find ways and means of remembering colleagues who have contributed immensely
to the growth and development of higher education and research in Ethiopia; Realizing the importance of
founding organizations and foundations that support in particular promising your scholars;
Recognizing the dedicated service rendered to the Addis Ababa University (AAU) by the late scientist and
Educator Dr. Getachew Bolodia;
The interim Board established from among the activities of the public memorial Lectures in honor of Dr.Getachew
Bolodia, which was held in the Faculty of Science, Addis Ababa University on 24 Nov.1994, hereby declares the
foundation of the Getachew Bolodia Foundation (GBF). The Interim Board has adopted the following constitution

This Constitution shall be referred to as the constitution of the Getachew
Bolodia Foundation (GBF) | Article 2:Status | ||||||
GBF shall be a non-political, non-profit making foundation,
operating within the framework of the Addis Ababa University,
devoted to the promotion of research and higher education in
Ethiopia specifically in the biological, chemical and medical

The foundation shall be identified by an emblem which consists of a steroid nucleus and GBF inscribed in a circle | Article 4:Aims and Objectives | ||||||
Aims and Objectives of GBF is to support staff development, research and education efforts of universities,
colleges and research institutions in Ethiopia through offering of fellowship and grants in the biological,
chemical and medical sciences. And to promote these fields through organizing lectures, seminars, workshops
and taking measures that improve literatures and computing facilities | Article 5 | ||||||
Any Individual in Ethiopia or abroad who supports the aims and objectives of GBF shall be eligible for life or full membership. Honorary membership shall be given to individuals at the discretion of the board. Any local or international organization, which supports the aims and objectives of GBF, shall be eligible for corporate membership. | |||||||
Membership subscriptions for those residing in Ethiopia shall be Birr 60 per year for full, Birr 500 for life and Birr 5000 for corporate membership; those residing outside of Ethiopia shall pay US $60 per year for full,$500 for life and $5000 for corporate membership. | |||||||
Paid-up members except salaried employees of the foundation shall be eligible to vote, elect and be elected to offices. Each corporate member shall have one vote. Voting by mail shall be permissible. | |||||||
Termination of membership: submission of resignation letter or failure to pay membership dues for two consecutive years | Article 6 | ||||||
The General Assembly, the Board and the Secretariat shall be the principal organs | |||||||
The General Assembly shall be composed of all paid up members. It shall ratify or amend the constitution of the GBF. The General Assembly meeting shall be called once every two years. A quorum shall be attained by 50% of the members residing in Ethiopia. | |||||||
The Board shall be elected from among the GBF general membership and shall be charged with the responsibility of overseeing the activities of the Foundation. It shall be meet at least once a year to deliberate on the Foundation’s annual report and to decide upon the programs and the annual budget of GBF.The Board shall comprise of not more than seven persons and shall have the power to establish various committees as it deems necessary for implementing GBF’s aims and objectives effectively. The term of office of the Board shall be four years and members can be eligible for re-election. The Board shall have a chairman, vice chairman and a secretary. The chairman shall provide leadership for the effective implementation of GBF’s objectives, submit periodic reports on the activities of the Foundation to the Board and administer the financial affairs of GBF for which a special account shall be opened in Addis Ababa University. The vice chairman shall assist the chairman in managing the affairs of GBF in general and in taking initiatives in organizing fund raising campaign in particular and shall act on behalf of the chairman when need arises. The secretary shall take minutes of all board meetings and assist the chairman and vice chairman in the management of the day-to-day activities of the GBF and shall act as co-signatory of the GBF account at the AAU. | |||||||
The Secretariat shall consist of the chairman, vice chairman and Secretary of the Board and employed staff of the GBF and shall assume the responsibility of managing day to day activities of GBF | |||||||
The seat of the GBF Secretariat shall be in Addis Ababa, Ethiopia | Article 7 | ||||||
The GBF shall derive its income from membership fees, donations, grants and endowments as well as from the Foundation's income generating activities. | |||||||
All GBF Funds shall be deposited in a special GBF account at Addis Ababa University and shall be managed in accordance with the rules and regulations of such accounts | Article 8 | ||||||
GBF shall be dissolved upon the decision of 75% of the membership. In the event of dissolution, all assets of the GBF shall become properties of the Addis Ababa University | |||||||
